01. About Us

Neeve Smartech is a web design and digital solutions company providing services including, but not limited to:

• Website Design
• Website Development
• UI/UX Design
• Website Maintenance
• Website Hosting
• Domain Registration Assistance
• Branding and Graphic Design
• Search Engine Optimization (SEO)
• Website Security
• Digital Consulting

02. Eligibility

You must be at least 18 years old or have legal authority to enter into binding agreements in your jurisdiction. By using our services, you confirm that you meet these requirements.

03. Service Requests

A project begins only after:

• Both parties agree on the project scope.
• A quotation or proposal has been accepted.
• Any required deposit has been received.
• Necessary project information has been provided by the client.

04. Client Responsibilities

The client agrees to:

• Provide accurate information.
• Supply all required content, including text, images, logos, and branding materials.
• Respond to requests for feedback within a reasonable timeframe.
• Ensure they have the legal right to use any materials they provide.
• Review and approve project milestones promptly.

Project delays caused by the client may result in revised delivery dates.

05. Pricing and Payments

Unless otherwise agreed:

• Prices are quoted in writing.
• A deposit may be required before work begins.
• Remaining balances are due upon project completion or according to agreed milestones.
• Late payments may incur additional charges or suspension of services.

Payments are generally non-refundable once work has commenced.

06. Revisions

Each project includes the number of revisions specified in the quotation or proposal.

• Additional revisions beyond the agreed limit may incur additional charges.
• Requests that significantly change the original project scope may be treated as a new project.

07. Project Timelines

Estimated delivery dates are provided in good faith. Timelines may be affected by:

• Delays in receiving client materials
• Changes in project scope
• Technical issues beyond our control
• Force majeure events

We will communicate any significant delays as soon as reasonably possible.

08. Intellectual Property

Unless otherwise agreed in writing:

• Clients retain ownership of content they provide.
• We retain ownership of our design methods, templates, development tools, and proprietary processes.
• Upon full payment, ownership of the final approved website design and agreed deliverables transfers to the client, except for any third-party software, licensed assets, or proprietary tools.

We reserve the right to showcase completed projects in our portfolio unless a confidentiality agreement states otherwise.

09. Third-Party Services

Projects may incorporate third-party services such as:

• Hosting providers
• Domain registrars
• Payment gateways
• Content management systems
• Analytics platforms
• Plugins and software libraries

We are not responsible for outages, pricing changes, or service interruptions caused by third-party providers.

10. Website Hosting and Maintenance

If hosting or maintenance services are purchased:

• Clients are responsible for paying recurring fees on time.
• Failure to pay may result in suspension or termination of hosting or maintenance services.
• We will make reasonable efforts to maintain website availability but do not guarantee uninterrupted service.

11. Acceptable Use

Clients may not use our services to create or promote content that is:

• Illegal or fraudulent
• Harmful or defamatory
• Infringing on intellectual property rights
• Malicious or containing malware
• Intended for phishing, spam, or unauthorized activities

We reserve the right to refuse projects that conflict with applicable laws or ethical standards.

12. Confidentiality

We treat confidential client information with care and will not disclose it to third parties except:

• With the client's consent.
• As necessary to provide contracted services.
• When required by law.

Clients are also expected to respect any confidential information shared by our company.

13. Warranties

We strive to deliver professional, high-quality services. However, we do not guarantee:

• Specific search engine rankings.
• Increased sales or business performance.
• Continuous compatibility with future browsers or software.
• Uninterrupted operation of third-party services.

Services are provided on an "as available" and "as is" basis unless otherwise agreed.

14. Limitation of Liability

To the fullest extent permitted by law, Neeve Smartech shall not be liable for:

• Indirect or consequential damages
• Loss of profits or business interruption
• Data loss or third-party failures
• Delays beyond our reasonable control

Our total liability relating to any project shall not exceed the amount paid by the client for the specific services giving rise to the claim.

15. Indemnification

Clients agree to indemnify and hold Neeve Smartech harmless from claims, damages, liabilities, or expenses arising from:

• Content supplied by the client
• Copyright infringement by client-provided materials
• Misuse of delivered services
• Violations of applicable laws

16. Suspension and Termination

We reserve the right to suspend or terminate services if:

• Payments remain overdue.
• These Terms are materially breached.
• Fraudulent or unlawful activity is detected.
• Continued service poses a legal or security risk.

Termination does not affect any accrued payment obligations.

17. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, war, internet outages, labor disputes, or government actions.

18. Changes to These Terms

We may update these Terms from time to time. Updated versions will be published on our website with a revised effective date.

Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe, unless otherwise required by applicable law. Any disputes shall first be addressed through good-faith negotiations before either party pursues legal proceedings in the appropriate courts of Zimbabwe.
